Unified capture and analysis of sales and research conversations. $450K contracted ARR.

A seven-year-old Canadian SaaS platform that turns recorded conversations into scored, structured insight. Teams upload sales calls, coaching sessions, research interviews, meetings and video; the platform transcribes in 100+ languages, then analyzes the words, the tone of voice and what is on screen (multimodal, launched August 2026) against the customer's own scoring method: a sales methodology, a coaching rubric, a research codebook. Results land in shareable dashboards, automations and the customer's CRM. The business has just turned. After two flat years as a self-serve transcription tool, 2026 has been rebuilt around enterprise contracts: ✅ $37K USD MRR contracted from October 2026 (about $450K ARR), up from $22K recurring in June ✅ August 2026 was the largest revenue month in company history ($54K USD, +130% on July) ✅ Four enterprise deals signed in six weeks: a national legal network ($15K USD/month, 12 months, plus a $50K build), a global events agency (~$30K), a benefits brokerage (12 months) and a pilot with a large London estate agency ✅ Five more enterprise accounts in active evaluation, worth $200K to $300K a year, none counted above ✅ Sales cycle measured in weeks: every 2026 enterprise decision came inside 60 days of the first call ✅ 233 paying subscription customers plus enterprise accounts; 88% gross margin ✅ Product moat: multimodal analysis (audio + video + text), a white-label scoring engine, native iOS and Android recorders, a hosted MCP server that lets Claude and ChatGPT work inside a customer's workspace, and a public API ✅ $1.2M CAD of non-dilutive funding to date, with a further ~$350K CAD in conditional grants approved in 2026 ✅ Modern stack (React, Node, Python, MongoDB, AWS, Vertex AI), 99.9% uptime, tenant isolation hardened in 2026 ✅ Founders available for a 6 to 12 month transition; clean cap table (one $100K convertible note, disclosed)

Asking Price Reasoning
✅ 2.8x contracted ARR ($450K USD from Oct 2026) and 4.0x trailing 12-month revenue ($313K USD to Aug 2026) ✅ 3.2x the calendar-2026 revenue plan ($388K USD), which counts only signed contracts and the existing base ✅ Trailing SDE $146K USD after adding back two founders' pay and SR&ED fees (8.6x); the contracted recurring base, not trailing profit, carries the price ✅ Growth is contracted, not projected: 12-month enterprise agreements with milestones already invoiced ✅ Pipeline of five enterprise accounts ($200K to $300K/yr) outside the plan, repeatable in five segments ✅ Structure: share sale of the Canadian entity, 70 to 80% cash at close, balance as a 12-month earn-out; government funding terms documented in the data room with counsel's memo ✅ Comparable sub-$2M SaaS with contracted growth trades at 2.5x to 4x ARR

✅ Close the five enterprise accounts in evaluation ($200K to $300K a year); the sales system (pre-call pages, deal dossiers, same-day share pages, proposal-to-contract pack) is built and runs on every deal ✅ Channel partners: sales-training and coaching companies score their clients' calls under their own brand; one is calibrating now ✅ Add a second seller and an implementation lead; the founders currently do both and hours, not demand, are the constraint ✅ Desktop recorder (Mac and Windows) and the next release of the iOS and Android apps put capture on every device ✅ Voice and video agents merging into the core platform: one workspace for agent calls, meetings and scored sales calls ✅ AI-agent distribution: docs, llms.txt and a 113-tool MCP server make the product usable from Claude, ChatGPT and Cursor; the largest inbound deals of 2026 arrived through AI assistants and search ✅ Pricing: enterprise contracts at $9K to $180K a year replace $20 self-serve seats; usage-based multimodal credits are live ✅ A 690-person supporter and investor network and 2,000+ affiliates, largely unworked for enterprise introductions
